1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the NYC for FREE mobile application (the "App"), owned and operated by NYC for FREE Inc. ("NYC for FREE," "we," "us," or "our"), a company incorporated in New York. By downloading, accessing, or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the App. We may update these Terms from time to time as described in Section 10 below.
2. Description of Service
NYC for FREE is a media and lifestyle app that curates and shares information about free and low-cost events, pop-ups, giveaways, deals, and experiences in New York City (and other markets we may cover from time to time). The App may include, among other things:
Listings and descriptions of events, pop-ups, and promotions
Links to third-party websites, ticketing platforms, or registration pages
Editorial content, guides, and recommendations
Newsletter sign-up and notification features
NYC for FREE does not organize, host, or operate the events listed in the App unless explicitly stated. We act as an informational and promotional resource only, as further described in Section 6 below.
3. Eligibility and User Accounts
You must be at least 18 years old to use the App, or at least 13 years old with the permission of a parent or legal guardian who agrees to these Terms on your behalf.
To access certain features of the App, you must create an account by providing your email address. Additional information such as your name, date of birth and location may also be requested. You agree to:
Provide accurate and complete information
Keep your login credentials confidential
Notify us promptly of any unauthorized use of your account
Be responsible for all activity that occurs under your account
We reserve the right to suspend or terminate accounts that violate these Terms.
4. User Conduct
When using the App, you agree not to:
Use the App for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to the App, its servers, or any connected systems
Interfere with or disrupt the App's functionality or security
Scrape, copy, or redistribute App content for commercial purposes without our written consent
Impersonate any person or entity, or misrepresent your affiliation with any person or entity
Upload or transmit viruses, malware, or other harmful code
Use the App to harass, abuse, or harm another person
We reserve the right to investigate and take appropriate action against anyone who violates this section, including removing content, suspending access, or reporting to law enforcement.
5. Intellectual Property and User Content
Our Content. All content in the App, including text, graphics, logos, the NYC for FREE name and brand, and the App's design and functionality, is owned by NYC for FREE Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from our content without our prior written permission.
Your Content. If the App allows you to submit content (such as reviews, comments, photos, or event tips), you retain ownership of that content, but you grant NYC for FREE a non-exclusive, worldwide, royalty-free, sublicensable license to use, display, reproduce, and distribute it in connection with operating and promoting the App.
You represent that any content you submit does not infringe on the rights of any third party and complies with these Terms.
6. Third-Party Events, Links, and Offers
The App contains information about, and links to, events, businesses, brands, and third-party websites that NYC for FREE does not own or control. This includes event dates, times, locations, pricing, and availability, which are subject to change or cancellation by the organizer at any time without notice to us.
NYC for FREE is not responsible for:
The accuracy, completeness, or timeliness of third-party event details
The conduct, products, services, or content of any third party
Any injury, loss, or damage arising from your attendance at or participation in a listed event
Any transaction you enter into with a third party, including ticket purchases or giveaways
Your use of any third-party website or service linked from the App is at your own risk and subject to that third party's own terms and privacy policy.
7. Disclaimer of Warranties
THE APP AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF CONTENT.
We do not guarantee that the App will be uninterrupted, secure, or error-free, or that any event, offer, or piece of information listed in the App is current, accurate, or will remain available. You use the App at your own risk.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, NYC FOR FREE INC., ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR DATA, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM YOUR USE OF THE APP EXCEED ONE HUNDRED DOLLARS ($100 USD).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
9. Termination
We reserve the right to suspend or terminate your access to the App at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, us, or third parties, or for any other reason at our sole discretion.
You may stop using the App and delete your account at any time. Sections of these Terms that by their nature should survive termination (including Sections 5, 7, 8, and 11) will remain in effect.
10. Changes to These Terms
We may modify these Terms from time to time. If we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms and, where appropriate, through the App or by other reasonable means. Your continued use of the App after changes become effective constitutes your acceptance of the revised Terms.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the state and federal courts located in New York State, and you consent to personal jurisdiction in those courts.
